No purchase or payment of any money is necessary to enter or win the contest. Void where prohibited by law or where bonding, registration, or other requirements exist but have not been met. The “Big Package for Small Businesses” (the “Contest”) is sponsored by MG FREESITES LTD, having its corporate address located at 195-197 Old Limassol Nicosia Road, Dali Industrial Zone, 2540 Nicosia Cyprus (the “Sponsor”). The Contest is to be held entirely on the Sponsor’s website www.pornhub.com (the “Website”) and shall be advertised on all Sponsor’s social channels, blog and press pages.
Registration and participation in the Contest shall be governed by the terms and conditions contained herein, available at www.pornhub.com/bigpackage/rules during the Entry Period (the “Official Contest Rules”).

Odds of winning will depend upon the total number of entries received during the Entry Period. 3. Warranties and acknowledgements of the entrants:
Принимая участие в Конкурсе, каждый Участник настоящим:
(a)признает и подтверждает, что настоящие Официальные правила конкурса, а также все применимые федеральные, региональные и местные законы и правила были соблюдены и будут соблюдаться в течение всего периода проведения Конкурса;
(b)подтверждает, что Заявка была подана уполномоченным представителем Участника;
(c)признает и подтверждает, что Участники обладают всеми правами на товарные знаки или любыми соответствующими правами или лицензиями на логотип компании и веб-сайт, представленные вместе с Заявкой, а именно права на предоставление лицензии или сублицензии на такой логотип Спонсору для целей Конкурса;
(d)grants an irrevocable and sublicensable license to Sponsor to use, publish, distribute, edit, modify, excerpt, exhibit and otherwise exploit the Entrant’s name, commercial name, image, trademarks and logos provided in the Entry (the “Content”) or otherwise obtained by Sponsor during the Contest in order to exploit, commercialize, advertise or publicize the Contest, create the Banner, and provide the Prize namely on the Website or on any social media, by any and all methods and in any and all manners, now known or hereafter devised, throughout the universe in perpetuity, without further compensation where permitted by law;
(e)признает и подтверждает, что Спонсор, Конкурсные организации и их правопреемники и последователи не несут ответственности за какой-либо вред, несчастный случай, потерю, повреждение связанные с Конкурсом, Призом , его вручением или использованием; и

4. Приз:
One hundred (100) prizes will be awarded to one hundred (100) eligible Entrants during this Contest, for a total giveaway of one hundred (100) banner-ads for one billion (1,000,000,000) impressions.
Each Prize consists in the design and creation of one (1) banner-ad that will be conceptualized and created by professional designers commissioned by Sponsor for the selected Entrants (the “Banner”), to be featured on the Website for up to a total of ten million (10,000,000) ad impressions (collectively, the “Prizes”, each having a total approximate retail value of three thousand US dollars ($3,000.00 USD)).
Each Banner will incorporate the Entrant’s logo, will be managed by Sponsor’s ad platform partner TrafficJunky.com (at its own discretion as per the time, ad space and duration of the Banner, following the localization of the Entrant’s activities) in order to redirect interested users from the Website to the Entrant’s website.

Representatives of Sponsor will select the hundred (100) finalists among all eligible Entries received during the Entry Period in accordance with these Official Contest Rules (the “Finalist”) based on certain criteria such as the originality and relevance of the Entrant’s business, its type of industry, its geographical representation, how inspiring the Entrant’s business and message is, etc.

The Finalists will be notified via email shortly after the Selection by a representative of Sponsor. In the event the Finalist does not answer to the Sponsor’s representative’s first contact within fourteen (14) days of such contact, said Finalist will be disqualified. In such event Sponsor may, in its sole discretion, decide to select another Finalist among all remaining eligible Entries to replace such disqualified Finalist, until a new Finalist responds within the aforementioned delay to replace such previously disqualified Finalist, or to cancel the Prize.

In order to be declared a winner of the Contest, the Finalist must answer and confirm his status to Sponsor in accordance with the aforementioned terms and conditions (the “Winner”). Otherwise, the Prize will be deemed to be forfeited by the Finalist and the Sponsor will have the right, at its sole discretion, to select another Finalist in accordance with the abovementioned procedure set out in this section 4 or cancel the award of said Prize.
Sponsor is not responsible for any delay or failure to receive notification for any reason, including inactive account(s), technical difficulties associated therewith, or the Finalist’s failure to adequately monitor any account. Except where prohibited, participation in the Contest constitutes Entrant’s consent to Sponsor’s use of Entrant’s Entry and his or her name for promotional purposes in any media without further payment or consideration.
Decisions of the Sponsor are final and binding with respect to all matters related to the Contest. In no event shall the Sponsor be obligated to award more prizes other than the Prize stated in present Official Contest Rules. Sponsor shall have the ultimate right to determine the identity of a potential Winner in its sole discretion. Sponsor reserves the right to determine and to alter the method of notification and selection method.
Prize is awarded “as is” with no warranty or guarantee, either express or implied by Sponsor or any Contest Entities. The Winner acknowledges that the Sponsor and the Contest Entities are not in any manner responsible for, any warranty, representations, expressed or implied, in fact or in law, relative to the quality, conditions, fitness or merchantability of any aspect of the Prize being offered.

In no event shall the Sponsor be obligated to award more Prizes than the number of Prizes stated in these Official Contest Rules. The Prize or the right to receive the Prize is not redeemable for cash and not transferable; with no substitution allowed except, at Sponsor’s sole discretion, for a prize of equal or greater value. Winner shall be responsible and liable for all federal, state, and local taxes on the value of their Prize. If required by Sponsor, the Winner must complete and return to Sponsor an IRS Form W-9 that reflects the Winner’s Taxpayer Identification Number or Social Security Number. If the Winner resides in the United States, he/she may receive from Sponsor an IRS form 1099-MISC at the end of the calendar year, and a copy of such form may also be filed with the Internal Revenue Service.

8. Выпуск и компенсация:
By entering this contest, entrants forever and irrevocably agree to defend, indemnify, release and hold harmless the sponsor, the contest entities or any other person or entity involved in the contest of the award of the prize and their respective directors, officers, employees, shareholders, agents, representatives, successors, and assigns (collectively “releasees”) from and against any and all liabilities, actions, causes of actions, losses, costs, expenses, damages, actual, incidental or consequential, rights, claims, demands whatsoever in law or equity, lawsuits, penalties, proceedings, judgments, and actions of any kind, which the entrant now has or may acquire, arising in whole or in part, directly or indirectly, from the contest, entry, the removal from the sponsor’s website or any of the websites operated or owned by sponsor or any of its affiliated entities, or discontinuation of access to, any materials, or resulting directly or indirectly, from acceptance, receipt, delivery, possession, defect, use, inability to use or misuse of any prize awarded in connection with the contest, including without limitation, personal injury, death, loss of, or property damage, as well as claims based on publicity rights, defamation, and/or invasion of privacy.
Участник или любое другое лицо, которое пытается преднамеренно повредить имидж или репутацию спонсора или любой веб-сайт, управляемый или принадлежащий спонсору или любому из его аффилированных лиц, или препятствующий легитимности процесса конкурса, совершает уголовное и гражданское преступления, и спонсор оставляет за собой право в таком случае требовать возмещения ущерба в объеме, разрешенном законом.
9. Общие условия и релизы:
Вся интеллектуальная собственность, относящаяся к рекламным материалам, связанным с этим Конкурсом, является исключительной собственностью Спонсора или его филиалов или лицензиаров. Все права защищены. Несанкционированное копирование или использование любых материалов, защищенных авторским правом, или интеллектуальной собственности без письменного согласия их владельца строго запрещено. Все торговые марки являются собственностью их соответствующих владельцев.
Никакое общение или переписка не будет начата с Участниками, кроме Участника, который был выбран в качестве Финалиста.
Участник, Финалист или Победитель может быть дисквалифицирован из Конкурса, если он или она не соблюдают какое-либо положение настоящих Официальных правил конкурса, как это определено по собственному усмотрению Спонсора. Участник принимает участие в конкурсе на свой страх и риск. Получая Приз, Победитель соглашается освободить и обезопасить Спонсора, Субъектов Конкурса и их соответствующих правопреемников и правопреемников. Releasees do not make any, and hereby disclaim any and all, representations or warranties of any kind regarding any prize. Nothing contained herein shall be deemed to obligate any of the Releasees to make use of any of the rights granted herein, and the Winner waives any right to inspect or approve any such use of any and every nature and kind.
By entering or accepting a Prize in this Contest, the Winner agrees to be bound by these Official Contest Rules and to conform to all applicable federal, state, and local laws and regulations. Winner may be required to furnish proof of identity, address, and birth date in order to receive a Prize. Any person attempting to defraud or in any way tamper with this Contest will be ineligible for Prizes and may be prosecuted to the full extent of the law. Sponsor reserves the right to modify these Official Contest Rules in any way or at any time. Sponsor reserves the right, in their sole discretion, to modify, cancel, or suspend this Contest should viruses, bugs, or other causes beyond Sponsor’s control corrupt the administration, security, or proper play of the Contest, or for any reason that Sponsor believe in good faith would be fair to the Entrants and the conduct of the Contest. In the event of cancellation or suspension, Sponsor shall promptly post a notice on the Contest entry page to such effect.

10. Применимое право:
This Contest shall be governed by the laws of the Republic of Cyprus applicable to contracts made and performed therein without regard to its conflicts of laws provisions. By participating in this Contest, Entrants hereby agree that any and all disputes, claims, and causes of action arising out of or connected with the Contest or the award of the Prize and all issues and questions concerning the validity, interpretation and enforceability of these Official Contest Rules shall be resolved individually, without resort to any form of class action, and irrevocably consent to exclusive jurisdiction and venue in the State and federal courts of Nicosia, Cyprus for any dispute or litigation arising from or relating to this Contest. Any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Contest and never shall include consequential, incidental or punitive damages and, in no event, attorneys’ fees.
